1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and KnowYou Verify ("Company," "we," "us," or "our") governing your access to and use of our client onboarding and identity verification platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Provide accurate, current, and complete information during registration
• Comply with all applicable laws and regulations in your jurisdiction

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or use of your account. We reserve the right to suspend or terminate your account if we suspect unauthorized access or fraudulent activity.

3.3 Multi-Factor Authentication

We may require you to enable multi-factor authentication to enhance the security of your account. Your failure to comply with security requirements may result in suspension of your account.

4. Identity Verification and KYC/AML

4.1 Verification Requirements

As part of our regulatory obligations, we are required to verify your identity and perform Know Your Customer (KYC) and Anti-Money Laundering (AML) checks. You agree to provide all necessary documentation and information requested by us for verification purposes, including but not limited to government-issued identification, proof of address, and source of funds documentation.

4.2 Biometric Data

By using our identity verification features, you consent to the collection and processing of biometric data (including facial recognition) for the purpose of verifying your identity. This data will be processed in accordance with our Privacy Policy and applicable data protection laws.

4.3 Third-Party Verification Services

We may use third-party identity verification services to verify your information. By submitting your information, you authorize us to share your data with these service providers.

4.4 Rejection of Applications

We reserve the right to reject any application or suspend any account if we are unable to verify your identity, if you fail to provide required documentation, or if we determine that your use of the Service poses compliance or security risks.

5. Prohibited Conduct

You agree not to:

• Provide false, inaccurate, or misleading information
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Attempt to circumvent or interfere with security features of the Service
• Use automated systems (bots, scrapers) to access the Service without authorization
• Upload or transmit viruses, malware, or other harmful code
• Engage in money laundering, terrorist financing, or other financial crimes
• Violate any applicable laws, regulations, or third-party rights
• Interfere with or disrupt the integrity or performance of the Service

6. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by KnowYou Verify, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms. This license does not include any right to reproduce, distribute, modify, or create derivative works from the Service.

6.3 Trademarks

The KnowYou Verify name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of KnowYou Verify or its affiliates. You may not use such marks without our prior written permission.

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

8. Disclaimers and Limitation of Liability

8.1 Service "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SECURITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PRIVATE WEALTH, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.3 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED $100 OR THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless KnowYou Verify, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to your breach of these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with applicable federal and state laws, without regard to conflict of law provisions.

11.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The decision of the arbitrator shall be final and binding.

11.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service following such notice constitutes your acceptance of the modified Terms.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and KnowYou Verify regarding the Service and supersede all prior or contemporaneous understandings and agreements.
